These terms constitute a legally binding agreement between you and Cascade. Please read them carefully.

1Acceptance of Terms

Welcome to Cascade ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Cascade governing your access to and use of the Cascade platform and any related services (collectively, the "Services").

BY CLICKING "I AGREE," REGISTERING FOR AN ACCOUNT, OR ACCESSING THE SERVICES, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU DO NOT HAVE AUTHORITY TO ACCESS OR USE THE SERVICES.

IMPORTANT NOTICE: SECTION 9 OF THESE TERMS CONTAINS A MANDATORY ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.

2Eligibility and Verification

2.1. Student Status Requirement.Access to Cascade is strictly limited to verified university students. To access the Services, you must verify your status using a valid .edu email address via our third-party verification partner. By registering, you represent and warrant that you are currently enrolled at an accredited university and that the .edu email address provided belongs to you.
2.2. Account Termination for Falsification.Cascade reserves the right to immediately suspend or terminate your account without notice if we discover or reasonably suspect that you have falsified your student status, are no longer an active student, or have used a fraudulent or misappropriated .edu email address.
2.3. Data Retention.You acknowledge and agree that Cascade retains your .edu email address following verification for the purposes of account security, identity management, and platform integrity. Our collection and use of this data are governed by our Privacy Policy, which is incorporated herein by reference.

3Nature of the Platform: Venue Only

3.1. Passive Conduit.Cascade acts strictly as a passive conduit for the publication of listings posted by Users. We are a listing venue only. We are not an auctioneer, a seller, or a merchant. We do not own, possess, warehouse, inspect, or distribute any goods listed on the Services.
3.2. No Contractual Relationship.Any contract for the sale of goods is solely between the Buyer and the Seller. Cascade is not a party to any transaction and has no agency, partnership, joint venture, employment, or franchiser-franchisee relationship with any User.
3.3. No Control Over Items.We do not control, and we are not responsible for, the quality, safety, morality, or legality of any items listed, the truth or accuracy of listings, or the ability of Sellers to sell items or Buyers to pay for items.

4Off-Platform Transactions

4.1. Financial Transactions.Cascade does not process payments. All financial transactions are conducted entirely off-platform at the sole discretion and risk of the Buyer and Seller. Cascade expressly disclaims all liability for any errors, fraud, theft, chargebacks, or disputes arising from the use of cash, Venmo, Zelle, CashApp, cryptocurrency, or any other third-party payment method.
4.2. Communications.Cascade does not host internal messaging services. All communication between Users occurs via third-party platforms or direct contact. We have no control over, and strictly disclaim liability for, any communications, harassment, or interactions that occur outside of our immediate technical infrastructure.

5Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL GOODS LISTED THEREIN ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

CASCADE EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY LISTINGS OR GOODS; (C) WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; AND (D) WARRANTIES REGARDING THE IDENTITY OR TRUSTWORTHINESS OF ANY USER.

YOU ASSUME FULL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SERVICES AND YOUR INTERACTION WITH OTHER USERS.

6Limitation of Liability

IN NO EVENT SHALL CASCADE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM: ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO THE SERVICES OR TRANSACTIONS FACILITATED THEREBY; ANY UNAUTHORIZED ACCESS TO OUR SERVERS; ANY TRANSACTION BETWEEN USERS, INCLUDING THE FAILURE OF A USER TO DELIVER GOODS OR MAKE PAYMENT.

IF, NOTWITHSTANDING THE FOREGOING, CASCADE IS FOUND LIABLE, OUR LIABILITY TO YOU OR ANY THIRD PARTY IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES IN DISPUTE NOT TO EXCEED THE TOTAL FEES WHICH YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE ACTION, OR (B) $100.00 USD.

7Indemnification

You agree to defend, indemnify, and hold harmless Cascade, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) Your use of and access to the Services; (b) Your violation of any term of these Terms of Service; (c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) Any claim that your listing or conduct caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.

8Termination

8.1. Termination by You.You may terminate your account at any time by following the instructions on the Platform or by contacting us.
8.2. Termination by Us.We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, in our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
8.3. Effect of Termination.Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS YOUR RIGHTS.

9.1. Mandatory Binding Arbitration.Any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or your use of the Services, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. YOU HEREBY WAIVE YOUR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.
9.2. Class Action Waiver.YOU AND CASCADE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Cascade agree otherwise, the arbitrator may not consolidate more than one person's claims.
9.3. Arbitration Location and Costs.Arbitration shall take place in [INSERT CITY/COUNTY], unless otherwise agreed to. Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules.
9.4. Opt-Out.You have the right to opt-out of this arbitration agreement by sending written notice of your decision to opt-out to [INSERT CONTACT EMAIL/ADDRESS] within thirty (30) days of your first acceptance of these Terms.

10Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [INSERT STATE], without regard to its conflict of law principles.
